These Terms of Service govern your access to and use of this website and any coaching services, programs, digital products, and related content provided by Grain of Thought, LLC. By accessing this website, purchasing, enrolling in, or using our services, you agree to these Terms. If you do not agree, do not use the website or purchase services.

SERVICES PROVIDED AND LIMITATIONS
Grain of Thought, LLC provides coaching services intended to support personal and/or professional development. Coaching may include education, goal setting, accountability, strategy support, mindset development, and skill-building.

You understand and agree that coaching results vary by individual. We do not guarantee specific outcomes, results, financial gains, or personal transformation.

Our services are not designed for emergency situations. If you are experiencing a crisis or believe you may harm yourself or others, call 911 or seek immediate emergency assistance.

You acknowledge that you are responsible for your own decisions, actions, and results. You agree to use your own judgment and due diligence before implementing any suggestion, recommendation, or strategy shared through coaching services or website content.

COACHING IS NOT THERAPY OR MEDICAL ADVICE
Coaching is not therapy, psychotherapy, counseling, mental health treatment, or medical care. We do not diagnose, treat, cure, or prevent any condition, illness, or disease.

Nothing on this website or provided through our services is medical, psychological, legal, or financial advice. You should consult a licensed professional for any medical, mental health, legal, or financial concerns.

If you are currently under the care of a medical or mental health professional, you should inform them of your participation in coaching and make decisions in alignment with professional guidance.

PAYMENT TERMS
Prices are shown on our website, sales pages, checkout pages, invoices, or written proposals. All fees are listed in USD unless stated otherwise.

By purchasing, you authorize us and our payment processors to charge your selected payment method for the total amount due, including any applicable taxes.

If you choose a payment plan, you agree to complete all installments. Failure to make a payment may result in suspension or termination of access to services, sessions, content, or community features until payment is made.

If payment is past due, we reserve the right to pause services, withhold materials, or revoke access. You may be responsible for reasonable fees associated with collection of unpaid balances as permitted by law.

You agree not to initiate a chargeback without first contacting joshua@grainofthoughtcoaching.com to attempt resolution. Unauthorized chargebacks may result in immediate termination of access to services and materials and may be disputed with supporting documentation.

REFUND POLICY
All sales are final unless otherwise required by applicable law.

Refunds are not provided for missed sessions, unused services, failure to follow recommendations, dissatisfaction with results, or changes in personal circumstances.

CANCELLATION AND RESCHEDULING POLICY
All rescheduling or cancellation requests must be made at least 48 hours in advance of the scheduled session time.

If you cancel with less than 48 hours’ notice or fail to attend a scheduled session, the session may be forfeited and counted as used. No refunds will be provided for forfeited sessions.

If Grain of Thought, LLC must cancel or reschedule a session, reasonable notice will be provided and a replacement session or rescheduled time will be offered.

If you purchase a session package, sessions must be used within six months of purchase unless otherwise stated in writing.

INTELLECTUAL PROPERTY RIGHTS
All content provided on this website and within coaching sessions, programs, courses, communities, written materials, worksheets, downloads, videos, and audio recordings is owned by Grain of Thought, LLC or licensed to us.

You are granted a limited, non-exclusive, non-transferable license to access and use the content for personal, non-commercial use only.

You may not reproduce, distribute, sell, sublicense, share, publish, copy, or record sessions without written permission, use materials to create competing products or services, or remove copyright, trademark, or branding notices.

CONFIDENTIALITY
We respect confidentiality and will not intentionally disclose personal information you share in coaching except as required to provide services, comply with the law, or protect safety.

You understand that coaching is not a legally protected relationship like attorney-client or therapist-client privilege. You are responsible for your own disclosures within any group coaching or community settings.

COMMUNITY STANDARDS
If you participate in any group program, membership, or online community, you agree to communicate respectfully and avoid harassment, hate speech, threats, or disruptive behavior.

We reserve the right to remove any participant from a community or program without refund for behavior we determine is unsafe, inappropriate, disruptive, or in violation of these terms.

LIMITATION OF LIABILITY
To the maximum extent permitted by law, Grain of Thought, LLC and its owners, officers, employees, contractors, and affiliates will not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from or related to your use of this website, your participation in coaching services, reliance on any information provided, or decisions or actions you take or do not take.

Our total liability for any claim will not exceed the amount you paid to us in the three months prior to the event giving rise to the claim, or $500, whichever is less, unless a different limitation is required by law.

ASSUMPTION OF RISK
You understand that coaching may involve emotional, challenging, or reflective topics. You voluntarily assume all risks associated with participation, including emotional discomfort, financial decisions, relationship decisions, or changes in personal or professional direction.

DISCLAIMERS
All information on this website and in our services is provided for educational purposes only.

Services and content are provided “as is” and “as available.” We make no warranties regarding accuracy, completeness, or usefulness.

We are not responsible for interruptions caused by internet issues, platform outages, payment processor issues, or technology failures.

DISPUTE RESOLUTION
If you have a concern or dispute, you agree to contact joshua@grainofthoughtcoaching.com and attempt good-faith resolution within 30 days before pursuing legal action.

If unresolved, the parties agree to attempt mediation with a neutral mediator located in Indiana, unless both parties agree to a remote format.

If mediation is unsuccessful, disputes will be brought exclusively in the state or federal courts located in Indiana, and each party consents to jurisdiction and venue.

The prevailing party may recover reasonable attorneys’ fees and costs to the extent permitted by law.

TERMINATION
We may terminate or suspend access to services or content at any time if you violate these terms, fail to pay, engage in abusive behavior, or misuse materials.

Upon termination, all rights to use content end immediately.

CHANGES TO TERMS
We may update these terms from time to time. Continued use of the website or services after changes are posted constitutes acceptance of the updated terms.
